LOKALIA TERMS OF USE

These Terms of Use govern all activities conducted on the Lokalia platform ("Platform" or "Service") operated by Axelle Tech LTD ("Company"). By using the Platform, you agree to these Terms.


1. Parties and Definitions

Data Controller: Axelle Tech LTD, England and Wales, Company Number: 16311724, 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom

Service Provider: The Company operates the Platform and processes restaurant and customer data.

Users: Restaurants using the Platform ("Restaurant Users") and consumers ("Guest Users").

Platform: A software service providing digital menu, reservation, ordering, and communication features.


2. Service Description and Scope

The Lokalia Platform enables restaurants to publish digital menus, manage customer relationships, and interact with guests. The Service includes:

  • Digital menu publishing and management
  • Guest selection and preference tracking
  • AI-powered chat service (powered by third-party AI technology)
  • Anonymous statistical analysis
  • Email communication (opt-in)
  • Availability and reservation management

The Platform is provided "as is." Technical failures, outages, or errors may occur.

4.2 Feature Variability: Not all features are available at every restaurant. Features such as the AI Chat Assistant, email/SMS marketing, and detailed analytics vary based on the restaurant's selected service package.


3. Compliance and Legal Framework

The Service operates under the following legal frameworks:

  • Turkey: Personal Data Protection Law (KVKK) - Law No. 6698
  • Turkey: Electronic Commerce Law (ETK) - Law No. 6563
  • EU: General Data Protection Regulation (GDPR - Regulation (EU) 2016/679)
  • EU: ePrivacy Directive and national implementations
  • Turkey: Regulation on the Protection of Users' Rights in the Telecommunications Sector

The Company operates in compliance with these Terms and the additional policies described in the related Privacy Policy, Cookie Policy, and Menu Terms.


4. User Responsibility and Account Security

Restaurant Users:

  • Are responsible for the accuracy and currency of account information
  • Must keep passwords confidential and not share them with others
  • Are responsible for all activities on their account
  • Must report unauthorized access to the Company

Guest Users:

  • Must use the Platform only for legitimate purposes
  • Must provide accurate information when browsing menus and recording preferences
  • Must not misuse others' data

Account creation is optional. You do not need to create an account to view the digital menu and use basic features. When you create an account, you will be separately asked whether you consent to receiving commercial electronic messages (email/SMS).


5. Intellectual Property Rights

The Platform and all content and software ("Content") are offered under Axelle Tech LTD's intellectual property rights. Users have a limited license for personal, non-commercial use. Copying, modifying, distributing, or publishing Content is prohibited. Restaurant Users' rights to their own menu content are preserved.


6. Restrictions and Prohibited Activities

Users may not:

  • Use the Platform for spam, malicious intent, or unauthorized purposes
  • Attempt to access others' accounts
  • Test or attempt to break the Platform's technical security
  • Infringe copyright or intellectual property rights
  • Offer illegal content or services
  • Use the Platform for competitive espionage
  • Subject the Platform to hacking or automation attempts

Violations result in account suspension or termination.


7. Service Changes and Interruptions

Axelle Tech LTD reserves the right to modify, enhance, or remove the Platform. Reasonable notice is given for material changes. Temporary interruptions may occur due to maintenance or security issues. The Company is not liable for losses or damages resulting from interruptions.


8. Limitation of Liability

The Company is not responsible for:

  • Data loss, viruses, or security breaches
  • Failures in third-party services (e.g., hosting, email)
  • Guest conduct or disputes
  • Damages resulting from misuse of the Platform
  • Direct, indirect, incidental, consequential, or punitive damages

Liabilities that cannot legally be limited under Turkish and EU law are exempt from these Terms.


9. Privacy and Data Protection

Personal data about users is processed under the following legal frameworks:

  • KVKK (Turkey) and GDPR (EU)
  • Data is processed only for specified purposes
  • Data processing is based on lawful grounds under KVKK
  • Guest data is processed for purposes described in the Privacy Policy

10. E-Commerce and Email Marketing

10.1 Electronic Commerce Law Compliance

The Service is regulated as an e-commerce service under ETK No. 6563. Restaurant Users are responsible for providing accurate, complete, and non-misleading information about products offered on the Platform.

10.2 Commercial Messages and Consent

Restaurant Users must obtain explicit consent before sending emails to guests. All commercial messages and marketing must comply with ETK and KVKK requirements.

10.4 Intermediary Service Provider

For email sending, the Company acts as an "intermediary service provider" under ETK Article 6563. Restaurant Users are responsible for email content and consent management. The Company does not send marketing messages without consent or outside KVKK requirements.

10.5 Email Marketing Responsibility

Restaurant Users are responsible for the accuracy of email lists, appropriateness of subjects, and consent management. The Company sends messages only to consenting guests provided by the Restaurant User. The Company is not responsible for users using the Platform for illegal or unethical marketing purposes.


11. Guest Privacy Notice

For the brief privacy notice provided to guests while browsing the menu, see Menu Privacy Notice (/en/legal/menu-privacy). Data processing information for the menu is included in this document.


13. Menu Terms

Use of the digital menu is subject to separate terms. See Menu Terms of Use (/en/legal/menu-terms). Restaurant Users are responsible for keeping menu content current and accurate.


14. Payment and Billing

14.1 Pricing

Service pricing is clearly stated on the Platform. Prices may change, but do not apply to the current subscription period.

14.2 Payment Method

Payments are made through secure payment links. Credit card information is not retained by the Company; it is processed by third parties compliant with industry-standard payment security requirements.

14.3 Invoicing

All billing information is stored on the Platform. Restaurant Users must keep account information current.


15. Service Terms and Duration

15.1 Subscription Periods

Subscriptions may be monthly or annual. Before expiration, you will be notified before renewal.

15.2 Cancellation

Restaurant Users may cancel their subscription at any time. Data is deleted within 30 days after cancellation.

15.3 Suspension or Termination

The Company may suspend or terminate accounts if payment is not made, services are misused, or these Terms are not complied with.


16. Dispute Resolution

16.1 Mediation

Any dispute must first be resolved through direct negotiation with the Company.

16.2 Jurisdiction

Disputes are resolved by courts in London, England. Claims are governed by English and Welsh Law.

16.3 Alternative Dispute Resolution

EU consumers may use the EC Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr/) for online dispute resolution.


17. Personal Data Protection and Data Subject Rights

17.1 Processing Grounds

The Platform processes personal data under the following grounds:

  • Contractual Obligation: Service delivery
  • Legitimate Interest: Service improvement, security, analytics
  • Consent: Analytics and marketing (opt-in)
  • Legal Obligation: Tax, accounting, response to legal requests

17.2 Data Subject Rights

Data subjects (Restaurant Users and Guests) have the following rights:

  • Access to data
  • Correction
  • Deletion ("right to be forgotten")
  • Objection to processing
  • Data portability

17.3 EU Residents - GDPR Rights

Individuals residing in the EU have additional rights under GDPR. You may lodge complaints with EU Supervisory Authorities.


18. Material Changes and Our Discretion

Axelle Tech LTD may modify these Terms of Use at any time. You will be notified of material changes via email and the Platform. Continued use of the Platform constitutes acceptance of the new Terms.


19. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain valid.


20. Entire Agreement

20.1 Complete Agreement Documents

These Terms of Use, together with the following documents, constitute the complete agreement between the Company and Users:

  • Menu Terms of Use (/en/legal/menu-terms)
  • Commercial Messages Policy (/en/legal/commercial-messages)
  • Menu Privacy Notice (/en/legal/menu-privacy)

20.2 All Terms

These Terms supersede all previous agreements, commitments, and representations, whether oral or written.
